Section 6 : VOTING RIGHTS OF MEMBERS

 In order to avoid bias in the decisions/resolutions of the various functionaries of the Foundation, any member of the Batchu Foudation, on his election to the Municipality, Legislative Assembly, Council or Parliament, shall be away from the decision making process of the Batchu Foundation. For the period of his tenure of holding such public office. Each member is entitled for one vote and shall be a member on the last day of the month and a member for at least 3 months prior to exercising any vote.


Section 7 : NOTICE OF MEETINGS

  Meetings will be conducted at the Batchu Foundation Assembly Hall unless intimated otherwise on the last Friday of the month at 5 pm. General Body will meet once each quarter. Board of Trustees will meet once in each quarter. Executive body will meet once a month.

Section 8 : QUORUM

  The quorum for any meeting shall be 25% of the members entitled to vote at any meeting present in person, shall constitute a quorum. All proposals, except amendments to constitution, are considered approved if voted by simple majority of the members present at the meeting. No proxies shall be permitted for purpose of quorum.

 

Section 9 : NO PRIVATE INTERESTS

  The organization shall be operated exclusively for the purposes set forth in Article II and none of its net earnings shall inure, in whole or in part, in the benefit of any person or organization having a personal interest in the activities of Foundation.

 

Article IV : BOARD OF TRUSTEES

 Section 1 : GENERAL POWERS

    The assets the Batchu Foundation are managed by Board of Trustees. The chairman or chairman elect in his/her absence will negotiate and sign all the documents necessary for assets management. In addition the Board of trustees will approve the yearly budget which is implemented by the Executive body constituted from the life members which is called Peddapuram Development Council.75% of the income from the assets, from the previous year ( after all the expenses met ) will be the money available for the following years budget. The approximate yearly budget for the Foundation activities is 25 lakhs. The Board of trustees will approve all the decisions of the Executive Body ( Peddapuram Development Council ).

 

Section 2 : NUMBER, TENURE, QUALIFICATION

A . The total number of board of trustees will be nine, and all of them shall be members of good standing.

B. The Grand Patrons will nominate four trustees from the general body

C. The patrons will nominate two trustees from the general body.

D. The Life members will elect three trustees.

E. The tenure of the Board of trustees is 4 years.

F. The trustees will elect one as Chairman and Chairman elect

G. Every two years 5 to 4 trustees will be elected

H. The Trustees should not be elected two consecutive terms in a row.
